Terms of Service

The contract between you and LicenseVault. Plain English where possible, formal where required.

These Terms govern your access to and use of the LicenseVault website (licensevault.net) and the products sold through it. By placing an order you agree to these Terms together with our Privacy Policy and Refund Policy.

1. Who we are

LicenseVault is operated by LicenseVault s.r.o., a company registered in the Czech Republic. Our principal office is at Pražská 1148/9, 102 00 Prague 10. Contact: support@licensevault.net.

2. What we sell

LicenseVault sells genuine Microsoft software product keys and Microsoft 365 subscriptions. Licenses are sourced lawfully within the EU single market in accordance with the Court of Justice ruling in UsedSoft GmbH v. Oracle International Corp. (Case C-128/11) and subsequent jurisprudence on the exhaustion of distribution rights for software.

3. Orders & delivery

Orders are processed automatically by our fulfillment system. Product keys and download links are delivered to the email address provided at checkout, typically within 30 minutes of successful payment. Delivery times of up to 24 hours may apply for orders that trigger manual fraud verification. If you have not received your key after 1 hour, check spam, then email support@licensevault.net.

4. Pricing & payment

All prices are shown in EUR including any applicable VAT for B2C EU customers. B2B customers within the EU may apply the reverse-charge mechanism by entering a valid EU VAT number at checkout. Payments are processed by Stripe or Paddle, depending on region. We accept Visa, Mastercard, American Express, SEPA Direct Debit, iDEAL, Bancontact, Sofort, Apple Pay and Google Pay.

5. Lifetime activation guarantee

Every product key is covered by a lifetime activation guarantee for as long as Microsoft supports the underlying product. If a key fails to activate against Microsoft's servers, we will replace it free of charge once you provide a screenshot of the activation error. If we cannot provide a working replacement, we will refund the full purchase price.

6. Refunds & withdrawal

Because digital product keys are consumed on first activation, EU Directive 2011/83/EU Article 16(m) permits us to disclaim the right of withdrawal once the key has been delivered AND you have expressly consented to immediate delivery (by ticking the consent box at checkout). Notwithstanding that, we voluntarily offer a 14-day refund for keys that have not been activated. Full terms are at /refund-policy.

7. Prohibited use

  • Resale of keys purchased from LicenseVault to third parties.
  • Use of academic or NFR (Not-for-Resale) keys for commercial purposes.
  • Use of any key in a manner that breaches Microsoft's product use rights.
  • Attempts to circumvent activation limits, hardware-binding or per-seat caps.
  • Use of automated systems (bots, scrapers) to place orders or harvest the catalog.

8. Intellectual property

Microsoft, Windows, Office, Microsoft 365, SQL Server, Visual Studio, Visio and Project are trademarks of Microsoft Corporation, used here for descriptive purposes only. LicenseVault is not affiliated with, endorsed by, or sponsored by Microsoft.

9. Liability

LicenseVault's total aggregate liability under or in connection with any order is limited to the amount you paid for that order. We are not liable for indirect or consequential losses (downtime, lost profits, data loss, business interruption) arising from the use or misuse of any product. Nothing in these Terms limits liability that cannot lawfully be limited under EU consumer law.

10. Force majeure

We are not liable for delays or failures caused by events outside our reasonable control, including outages of Microsoft's activation servers, payment-processor failures, cybersecurity incidents, or regulatory action.

11. Modifications

We may update these Terms from time to time. Material changes are announced by email to active customers at least 30 days before they take effect. Continued use after that date constitutes acceptance.

12. Governing law & disputes

These Terms are governed by the laws of the Czech Republic and, where applicable, the laws of the European Union. Consumer rights granted by your country of residence are not affected. Disputes may be submitted to the Czech courts, or — for EU consumers — to the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

Frequently asked

Are LicenseVault keys legal in the EU?
Yes. The Court of Justice ruling in UsedSoft v. Oracle (C-128/11) established that the right of distribution is exhausted once a software copy has been lawfully sold in the EU, allowing resale even when the original license forbids it.
Can I use a key in a different country than I bought it from?
Yes for any country in the EU/EEA. Outside the EU/EEA the activation will succeed (Microsoft's servers do not geo-fence retail / volume keys) but the EU exhaustion doctrine does not apply outside the single market — buying from outside the EU is at your own risk under local law.
Do I own the license forever?
Perpetual licenses (Windows, Office 2019/2021/2024, Server, SQL Server, Visual Studio) — yes, indefinitely, on the device(s) allowed by the product use rights. Microsoft 365 — for the duration of the subscription you bought.
What happens if Microsoft revokes a key?
Extremely rare, but possible for a volume batch. We replace the key free of charge under the lifetime guarantee. If we cannot replace it, you receive a full refund.
